NON-REFUNDABLE POLICY

1. PURPOSE AND APPLICABILITY

This Non-Refundable Policy (“Policy”) governs all payments, fees, costs, and financial transactions (“Fees”) made to Techniqq by Jsons Digisoft Private Limited (“Company,” “We,” “Our”) by any individual or entity (“Subscriber,” “User,” “Customer,” or “You”) in respect of the Company’s IT software, SaaS platforms, e-commerce solutions, digital products, professional services, and ancillary offerings (collectively, “Services”).

This Policy applies to:

  • Software Purchases: Licensing or subscription to Techniqq proprietary software, SaaS platforms, applications, APIs, connectors, or modules.
  • Professional Services: Customization, consultancy, onboarding, integration, training, or development.
  • Support & Maintenance: Technical support, updates, managed services, renewals.
  • E-Commerce Solutions: Website or app development, hosting, deployment, and cloud services.
  • Documentation: Manuals, online guides, or resource access.
  • Third-Party Costs: Taxes, payment gateway charges, or government fees.
  • Custom Engagements: Any project, deliverable, or work performed pursuant to agreements, work orders, or statements of work.

This Policy forms an inseparable component of the Company’s Terms of Service, Master Subscription Agreements, End User License Agreements (EULAs), Service Level Agreements, and other contractual instruments.

2. ACKNOWLEDGEMENT AND ACCEPTANCE

By purchasing, accessing, or using any Service, You expressly:

  • Confirm that you have read, understood, and accepted this Policy.
  • Acknowledge that all Fees are non-refundable, non-creditable, and non-cancellable except where expressly required under non-waivable Indian law.
  • Represent and warrant authority to bind yourself or your organization.
  • Agree that continued usage or payment constitutes irrevocable acceptance of this Policy.
  • Agree that no oral or written representation, sales assurance, or marketing claim can override this Policy unless signed by an authorized Company officer.
  • Failure to accept these terms requires you to discontinue use immediately.
3. NON-REFUNDABLE FEES
  • 3.1 Subscription Fees: All subscription Fees are strictly non-refundable, regardless of usage, dissatisfaction, or business discontinuation.
  • 3.2 Professional Service Fees: Fees for setup, implementation, consultancy, training, data migration, or integration are non-refundable once commenced.
  • 3.3 Support & Maintenance Fees: Technical support, AMC, SLA-based services, and maintenance charges are non-refundable.
  • 3.4 Third-Party & Government Charges: Bank fees, payment processor charges, taxes, duties, and surcharges are non-refundable.
  • 3.5 Promotional/Discounted Transactions: All Fees paid under promotional pricing, trial offers, or discounts are final and non-refundable.
4. CANCELLATIONS
  • Prospective Effect Only: Cancellations are effective prospectively and do not affect previously paid Fees.
  • Prepaid Fees: All prepaid Fees are forfeited upon cancellation.
  • Access Continuation: You may continue to access Services until the end of the billing cycle.
  • Irrevocability: Cancellation requests are final; reinstatement is at the Company’s sole discretion.
  • Termination for Breach: The Company may terminate your access immediately for breach; no refunds shall be due.
  • No Cooling-Off Rights: Statutory “cooling-off” or refund entitlements shall not apply to the fullest extent permitted by law.
5. UPGRADES AND DOWNGRADES
  • Upgrades: Effective immediately; additional Fees are due upon confirmation.
  • Downgrades: Effective from the next billing cycle; no refund of prior Fees.
  • No Carry-Forward: Prepaid balances are not transferable or creditable.
  • Data/Feature Loss: Downgrades may result in data or feature loss, for which the Company assumes no liability.
6. NO REFUNDS UNDER NON-USE OR DISSATISFACTION

Non-usage, dissatisfaction with features, compatibility issues, downtime, or force majeure interruptions do not create refund rights. Services are provided “as-is” and “as-available” without warranty of uninterrupted availability.

7. LIMITED EXCEPTIONS
  • Statutory Compliance: Refunds only where Indian law mandates non-waivable refund obligations.
  • Duplicate Payments: Verified duplicate transactions caused solely by the Company’s billing system, subject to written claim within 30 days.
8. DISPUTE RESOLUTION
  • Notice Period: Fee disputes must be raised in writing within 15 days of the charge.
  • Resolution: The Company shall investigate disputes in good faith and respond within 30 days.
  • Chargebacks: Users shall not initiate chargebacks without exhausting the Company’s process. Unauthorized chargebacks constitute breach.
9. LIMITATION OF LIABILITY

The Company’s total liability shall not exceed the total Fees paid by you in the preceding six (6) months. The Company shall not be liable for indirect, incidental, punitive, or consequential damages, including lost profits or data loss.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and affiliates from claims, damages, costs, or expenses arising out of misuse, breach, or unlawful conduct.

11. FORCE MAJEURE

The Company shall not be liable for delays, suspension, or failure due to causes beyond its reasonable control, including natural disasters, cyberattacks, or power outages.

12. SURVIVAL

Sections on Non-Refundable Fees, Cancellations, Dispute Resolution, Limitation of Liability, Indemnification, and Governing Law shall survive termination of Services.

13. GOVERNING LAW AND JURISDICTION

This Policy shall be governed exclusively by the laws of Jaipur, Rajasthan. Courts of Rajasthan shall have exclusive jurisdiction.

14. MODIFICATIONS

The Company reserves the right to amend this Policy at any time, with updates published on www.techniqq.com. Continued use after publication constitutes acceptance.
